Spaces Terms of Service

Hilltops App PTY LTD(ACN 698 610 007) operates Hilltops Spaces. In these Terms, "Hilltops", "we", "our", and "us" refer to Hilltops App PTY LTD.

1. Acceptance

By redeeming an invitation to Hilltops Spaces or accessing the directory, you agree to these Terms. If you are accepting on behalf of a venue or organisation, you confirm you have authority to bind that entity. These Terms incorporate the Spaces Privacy Policy.

2. Who can join

Hilltops Spaces is invite-only. You may hold a space account if you:

• Are at least 18 years old.
• Own, operate, or are authorised to represent the venue or third space you list.
• Have received a valid invitation from Hilltops and redeemed it within its stated validity period.
• Provide accurate and complete information in your listing and questionnaire.

Hilltops may decline, suspend, or revoke access at its discretion, including where the listing misrepresents the space or breaches these Terms.

3. Your account and team

The person who redeems an invitation is granted the owner role on the resulting space and may invite additional owners or managers. Owners and managers are jointly responsible for all activity on the space account.

You agree to:

• Keep your login credentials confidential.
• Notify Hilltops immediately of any unauthorised access at support@hilltops.app.
• Be responsible for the activity of team members you invite.

Where team members dispute ownership of a space, Hilltops will rely on its team-membership records as the authoritative source.

4. Permitted use

You may use Hilltops Spaces to:

• Publish an accurate profile of your space (photos, capacity, amenities, questionnaire answers, contact preferences).
• Receive inquiries from event organisers who use the Hilltops Business Portal and respond to them through the directory messaging surface.

You must not:

• Misrepresent the space, its capacity, its owner, or your relationship to it.
• List a space you are not authorised to represent, or list the same space under multiple accounts.
• Use the directory to send unsolicited promotional messages unrelated to a specific organiser inquiry.
• Scrape, harvest, or programmatically extract data from the directory outside of features Hilltops provides for that purpose.
• Circumvent Hilltops moderation or invite processes, or use Hilltops Spaces for unlawful activity.

5. Content you publish

You are solely responsible for the images, descriptions, questionnaire answers, and messages you publish through Hilltops Spaces ("Operator Content"). You warrant that you own or have the rights to publish all Operator Content and that it does not infringe the rights of any third party.

You grant Hilltops a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, and process Operator Content as required to operate the directory, including rendering your listing to event organisers with access. This licence terminates when you remove the content, except to the extent we are required to retain it for legal or backup purposes.

6. Inquiries, bookings, and payments

Hilltops Spaces connects event organisers with space operators. Any booking, hire, contract, or payment for use of a space is a direct arrangement between the organiser and the space operator. Hilltops does not process payments, hold funds, or act as an agent for either party in respect of that arrangement.

Hilltops does not currently charge space operators to list on the directory. If we introduce fees, we will update these Terms and notify operators before any fees apply.

7. Moderation

Hilltops may remove or hide Operator Content, restrict a listing from organiser search, or suspend a space account where we reasonably believe content or activity breaches these Terms or applicable law. Wherever practicable we will provide notice and a chance to remedy, but we may act without notice where urgency is required.

8. Termination

You may close your space account at any time by emailing support@hilltops.app. Hilltops may suspend or terminate your access where you materially breach these Terms, where continued operation would create legal or safety risk, or where we are required to do so by law.

On termination, your listing is removed from the directory. Sections that by their nature should survive (intellectual property, indemnity, limitation of liability, dispute resolution) do survive.

9. Intellectual property

The Hilltops name, logo, and directory software are owned by Hilltops App PTY LTD. These Terms grant you no rights in Hilltops intellectual property except a limited, revocable licence to use the directory as intended.

10. Warranties and liability

Hilltops Spaces is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Hilltops disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the directory will be uninterrupted or error-free.

To the maximum extent permitted by law, Hilltops' total liability to you under these Terms is limited to AUD $100. Hilltops will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profit, revenue, or goodwill.

Nothing in these Terms excludes or limits any non-excludable rights you have under the Australian Consumer Law.

11. Indemnity

You agree to indemnify and hold harmless Hilltops from any claim, demand, loss, or damage (including reasonable legal fees) arising out of your Operator Content, your use of the directory in breach of these Terms, or any booking or event arising from an inquiry made through Hilltops Spaces.

12. Changes

We may update these Terms from time to time. When we make material changes we will notify operators by email or via the dashboard and update the "Last updated" date above. Continued use of the directory after a change constitutes acceptance of the updated Terms.

13. Governing law

These Terms are governed by the laws of Victoria, Australia. You and Hilltops submit to the non-exclusive jurisdiction of the courts of Victoria. Before commencing proceedings, you agree to first contact us at support@hilltops.app and attempt to resolve the dispute in good faith.
